The Week the Sideline Vanished

For years, the knock on the psychedelic biotech sector was the same: promising science, no buyers. Fringe. Speculative. Wait and see. That thesis died this week.

In a span of 72 hours, three catalysts hit the tape that permanently re-rated this sector — and TOPGUN Options members were positioned in front of the biggest one before the headline ever crossed the wire.

On Monday, July 13, the VA and HHS signed a five-year partnership to bring psychedelic therapies to America’s veterans. That same day, the FDA finalized its first-ever formal guidance for psychedelic clinical trials — the regulatory roadmap the entire industry had waited on since 2023. Then, before Thursday’s open, Eli Lilly announced a definitive agreement to acquire atai Beckley for up to $3.8 billion. Big Pharma didn’t just dip a toe in the water. It wrote a check.

This is exactly the sequence we have been mapping for our members since our first sector brief. Regulatory legitimacy attracts institutional capital. Institutional capital attracts acquirers. Acquirers pay premiums. The only question was timing — and this week, the timing arrived all at once.

The TOPGUN Options Edge

The day before the Lilly deal broke, Whiz built a long-term bullish position in ATAI live in the Accelerated Live Trade brief — with the full trade plan behind it. Roughly 24 hours later, atai was a Big Pharma takeover target and the stock ripped more than 60% after hours. We drove the fight. We did not react to the headline. That is the difference between institutional intelligence and financial media.

The Three Catalysts That Re-Rated the Sector

1. Eli Lilly Acquires atai Beckley — Up to $3.8 Billion

On July 16, 2026, Eli Lilly (LLY) signed a definitive agreement to acquire atai Beckley (ATAI) in an all-cash transaction. The terms: $6.75 per share in cash at closing, representing roughly $2.8 billion in upfront equity value, plus up to $2.50 per share in the form of a Contingent Value Right (CVR) tied to development and regulatory milestones on the BPL-003 and VLS-01 programs — bringing total potential value to approximately $3.8 billion.

The upfront price represents a premium of roughly 40% to atai’s 30-day volume-weighted average price through July 15. The deal carries no financing condition and is expected to close in the third quarter of 2026, subject to atai shareholder and regulatory approval. atai’s largest shareholder and its entire board and officer group — approximately 15% of shares outstanding — have already signed voting agreements in support.

atai’s lead asset, BPL-003 (mebufotenin benzoate), is an intranasal synthetic 5-MeO-DMT for treatment-resistant depression carrying FDA Breakthrough Therapy Designation, in Phase 3 preparation. VLS-01, an oral DMT for major depressive disorder, is advancing through Phase 2b with data due in Q4 2026. Lilly — one of the most valuable companies on earth — just validated the entire rapid-acting neuroplastogen thesis with a single signature.

Why This Matters Beyond ATAI

When the largest pharmaceutical players start acquiring psychedelic developers at 40% premiums, every other clinically de-risked asset in the space is repriced as a potential target. The Lilly deal is not the end of the story. It is the opening shot. The names still trading below acquisition math are where the next asymmetry lives.

2. FDA Finalizes Psychedelic Clinical Trial Guidance

On July 13–14, 2026, the FDA published in the Federal Register its final guidance, “Psychedelic Drugs: Considerations for Clinical Investigations” — finalizing a draft that had sat untouched since June 2023. This is the most detailed regulatory roadmap this class of compounds has ever received, and it directly addresses the functional unblinding problem that sank Lykos Therapeutics’ MDMA application in 2024.

The guidance sets clear expectations on trial design: control groups, blinded outcome assessment, expectancy-bias mitigation, long-term follow-up, dose-response characterization, and abuse-potential evaluation. It also expects each dosing session to be observed by two monitors for its full duration. For a well-capitalized sponsor that already built its trial machinery around intensive session monitoring, this is a moat. For an underfunded sponsor, it reframes the economics of the entire program.

Alongside the guidance, the FDA announced a public hearing on the future therapeutic use of psychedelic drugs — a signal that the agency is not merely tolerating this class, it is actively building the runway for approvals. Jefferies read the guidance as evidence the FDA is receptive to helping psychedelic sponsors succeed.

3. VA–HHS Sign Five-Year Psychedelic Partnership

On July 13, 2026, VA Secretary Doug Collins and HHS Secretary Robert F. Kennedy, Jr. signed a Memorandum of Understanding at VA headquarters launching a five-year partnership to accelerate psychedelic therapy research and prepare the VA health system to deliver these treatments once FDA-approved. The MOU implements President Trump’s Executive Order 14401, “Accelerating Medical Treatments for Serious Mental Illness.”

The scope is significant: nearly 6 million veterans live with mental illness or substance use disorders, including roughly 1 million with serious mental illness. The VA is already involved in more than 20 active psychedelic clinical trials backed by over $23 million in external funding. Under the MOU, the agencies will coordinate clinician training, develop clinical protocols, and share real-world evidence with the FDA to speed review. A parallel FDA–VA MOU expands data-sharing directly. NIDA separately committed $2.3 million toward an ibogaine IND, and ARPA-H is funding a $139 million behavioral-health research initiative.

The Mission Behind the Intelligence

This is not an abstract trade thesis for us. Whiz has personal experience with these healing compounds. That experience is why he founded the No Fallen Heroes Foundation — to put the ladder down for veterans, first responders, and families — and, a little over a year ago, the Sacred Warrior Fellowship. We have been inside this sector as advocates for years. We knew what Big Pharma and Washington are only now making official: this is the future of mental health treatment.

ATAI — atai Beckley

The Trade That Proved the Process

This is the one. The day before Eli Lilly’s takeover became public, Whiz built a long-term bullish position in ATAI live in the Accelerated Live Trade brief. The thesis was simple and we had been repeating it for months: atai’s clinically de-risked, Breakthrough-designated 5-MeO-DMT program made it a prime Big Pharma acquisition target. Less than 24 hours later, Lilly proved us right to the tune of $3.8 billion, and the stock ripped more than 60% after hours.

The Position We Built

The structure was a long-dated diagonal designed for exactly this asymmetry: deep, cheap long-term upside financed by shorter-dated premium.

▶ Long leg: 10 × ATAI January 2028 $5 Calls — long-term bullish core, deep participation in any re-rating or takeout.

▶ Short leg: 5 × ATAI July 2026 $7 Calls — sold to finance the position and define the near-term risk.

▶ Net debit: ~$5.20 per spread, roughly $2,600 committed on the structure.

When the deal broke, the January 2028 $5 calls went deep in-the-money against a $6.75 cash floor plus the CVR. The position moved from a modest debit to hundreds of percent of profit — the textbook payoff for buying clinically de-risked optionality before the acquirer shows up.

The Tactic Now: Book the Win and Rotate

Here is the discipline that separates professionals from the crowd chasing ATAI at the open. Once a cash acquisition is announced, the stock stops trading on fundamentals and starts trading on deal math. The ceiling is now defined: $6.75 in cash plus up to $2.50 in contingent milestone payments. The 60% rip already happened. What remains between here and the deal cap is merger arbitrage — a capped, binary bet on CVR milestones and deal completion, not the asymmetric trade we entered.

The easy money in ATAI was made the moment we entered, a day before the world found out. We are booking the win and rotating the capital into the names that are not yet priced like acquisition targets. When the upside is capped, the timeline is out of your hands, and the catalyst has already fired, you do not force the trade. You debrief the win and hunt the next one.

Commit Criteria — What Made This a Go

De-risked lead asset (Breakthrough-designated 5-MeO-DMT), a clear strategic-acquirer profile, defined-risk structure with long-dated upside, and a sector backdrop turning bullish on regulatory tailwinds. Every gate was hot before we committed. That is the standard — not a hunch, a checklist.

CMPS — Compass Pathways

The Anchor — Closest to Approval

If ATAI was the trade that proved the process, Compass Pathways is the anchor of the entire sector — the most advanced classic-psychedelic program in the clinic and the name best positioned to benefit from every catalyst that hit this week. This is our live long-term position, and the July newsflow strengthened the thesis on every front.

Where the Science Stands

Compass’s COMP360 — a synthetic, proprietary formulation of psilocybin for treatment-resistant depression — delivered 26-week durability data from its second Phase 3 trial (COMP006), with roughly 40% of patients achieving meaningful, durable response and a clean safety profile through six months. The company reaffirmed a Q4 2026 NDA submission targeting a U.S. launch in 2027. Compass is also a holder of an FDA priority review voucher, which can compress review dramatically.

The analyst community has moved decisively. Evercore upgraded to Outperform (target raised to $21 from $8). Stifel and Maxim both lifted targets into the $20–21 range on the durability data. The 12-month consensus target sits near $24 — roughly 80% above where the stock trades today.

Why the FDA Guidance Is a CMPS Tailwind

This is the subtlety the market is underpricing. The FDA’s new guidance formalizes exactly the trial-design rigor — two-monitor dosing sessions, functional-unblinding controls, durability characterization — that Compass already built its entire trial machinery around. Regulatory requirements that raise the cost of entry for underfunded competitors are, for the sector leader, written confirmation that its decisions were right. The guidance is a moat, and Compass is standing behind it.

The Position: Stacked-Catalyst Bullish Structure

Our CMPS position is keyed to a stacked catalyst: the Q4 2026 NDA submission, the COMP006 durability validation already in hand, and the clear line of sight to FDA approval and a 2027 commercial launch. Rather than a single directional bet, the structure is built to carry through the full sequence.

▶ Bullish put spread (financing engine): Buy 5 × Jan 2028 $7 Puts / Sell 5 × Jan 2028 $10 Puts — collects premium and defines downside.

▶ Long-dated upside: Buy 5 × Jan 2028 $10 Calls — deep participation in the NDA-to-approval re-rating.

▶ Near-term premium sale: Sell 3 × Jul 2026 $13 Calls — harvests short-dated theta to reduce the cost of the core.

▶ Net debit: ~$32.45, roughly $3,245 committed, with a break-even near $13.10 against a stock trading around that level.

This is a synthetic-stock-style bullish position with a financing overlay — long-term exposure to the leader of the sector, built to hold through the Q4 NDA and into 2027. As long as the approval path stays intact, time is working for us.

CMPS risk reward snapshot break even near 13.10 uncapped upside into NDA approval
CMPS risk/reward snapshot — break-even near $13.10 against the current print, uncapped upside into the NDA-to-approval re-rating.
The Gates That Have to Stay Hot

NDA submitted on schedule in Q4 2026; durability data holding through the review; no surprise on the CMC or manufacturing front; and the priority-voucher pathway compressing the timeline. If those gates stay hot, this position runs. If the NDA slips, we re-assess the short-dated leg and roll. The contingency is built in.

DFTX — Definium Therapeutics

Banked Winner — Watching for Re-Entry

Definium (formerly MindMed) is the name we already made money on — and it remains one of the most important stories in the sector. In June, DFTX delivered its EMERGE Phase 3 readout in major depressive disorder: an 8.1-point placebo-adjusted MADRS improvement at week 6 (p<0.0001), all key secondary endpoints met, clean tolerability. We closed our position into that strength for roughly 200%, and the company priced an upsized ~$700 million raise on the news to fund the program forward.

DT120, an orally disintegrating lysergide (LSD) tablet, now anchors four Phase 3 trials — two in generalized anxiety disorder and two in MDD — carrying Breakthrough Therapy Designation for GAD. At roughly $45.80 and a ~$6.1 billion market cap, DFTX has re-rated hard off its lows near $8. This is now the second-largest pure-play in the group behind the strength of its late-stage pipeline.

Our posture is disciplined patience. We banked the readout. The stock is trading near the top of its 52-week range, and additional Phase 3 reads are the next catalysts. We are watching for a pullback to re-enter — the pipeline breadth makes DFTX a name we want to own again at the right price, not chase at the highs. A recent healthcare-claims study underscored the size of the underserved GAD market DT120 is built to address.

Discipline Note

Selling a 200% winner and waiting for a better entry is not caution — it is process. The re-rating is done; the next leg needs a fresh catalyst. We would rather own DFTX cheaper ahead of the next Phase 3 read than pay the top of the range for exposure we already monetized.

HELP — Helus Pharma

The High-Leverage Satellite

Helus Pharma (the commercial name of Cybin) is the high-risk, high-reward satellite of the group — the name where a single Phase 3 readout can re-rate the entire equity. At roughly $6.50 and a ~$406 million market cap, HELP is the smallest of our four names and the most binary.

The catalyst is defined and close. HELP’s lead asset, HLP003 — a deuterated psilocin analog engineered for a more predictable ~4-hour duration — is in the pivotal APPROACH Phase 3 trial for adjunctive major depressive disorder, now past 88% enrollment with topline data on track for Q4 2026. HLP003 carries FDA Breakthrough Therapy Designation. Company-reported Phase 2 data showed a striking ~23-point MADRS reduction from baseline at 12 months after two 16mg doses, with response/remission rates climbing to 100%/71% at one year — early, uncontrolled figures the FDA has not evaluated, but a signal that frames the upside.

The company recently closed a $50 million offering at $4.85 per share to fund its second Phase 3 (EMBRACE), extending the runway through the pivotal readout. Sell-side coverage frames the setup starkly: Jefferies has projected a 100–200% stock move on the APPROACH data, and a recent initiation pegged risk-adjusted value near $1.5 billion if Phase 3 succeeds — against an enterprise value that currently sits below the company’s cash.

How We Play It

HELP is a watch-list name for a defined-risk, catalyst-driven structure into the Q4 APPROACH readout — never a position you size like an anchor. The functional-unblinding standard the FDA just codified is the single biggest risk to any psilocybin Phase 3, and it applies here. This is a satellite: small, deliberate, and structured so the binary works for you, not against you.

The ROE (Rules of Engagement) From Here

This week did not create the psychedelic thesis. It confirmed it — publicly, at scale, with a $3.8 billion check and two federal signatures. The sector map from here is clear:

▶ ATAI: Booked. The Lilly deal capped the upside; we rotate the capital rather than chase merger-arb pennies.

▶ CMPS: Held. The anchor position, keyed to the stacked Q4 NDA catalyst, with the FDA guidance now a competitive moat for the leader.

▶ DFTX: Banked for ~200%. Watching for a pullback to re-enter ahead of the next Phase 3 read.

▶ HELP: On the watch list for a defined-risk structure into the Q4 APPROACH topline.

The Lilly acquisition is not the last deal in this sector — it is the first. Every clinically de-risked, Breakthrough-designated asset in the group is now a potential target, and the market has just been shown what those assets are worth to a strategic acquirer. Our job is to be positioned in the next one before the wire prints, not after.
